Article 1 – Seller and scope

These General Terms and Conditions of Sale (the "Terms") govern all sales concluded on the ÉLINE L'ATELIER website (the "Website") between BYREN, a French SARL with a share capital of €8,000, whose registered office is at Centre CIFA, Lot 3011, 5 rue de Saint-Gobain, 93300 Aubervilliers, France, registered with the Bobigny Trade and Companies Register under number 931 080 378, VAT FR46931080378 (the "Seller"), and its professional customers (the "Customer").

The Website is reserved exclusively for professionals (retailers, resellers and any person acting for business purposes). Consumer protection rules, including the consumer right of withdrawal, do not apply. By placing an order, the Customer declares that it is acting for the purposes of its business.

Placing an order implies unreserved acceptance of the Terms in force on the date of the order. They prevail over any other document of the Customer, including its general purchasing conditions, unless otherwise agreed in writing by the Seller. They form the sole basis of commercial negotiation within the meaning of Article L441-1 of the French Commercial Code.

Article 2 – Business account

Access to the catalogue, prices and ordering requires an approved customer account. When registering, the Customer provides accurate and up-to-date information, including its company name, registration number (SIRET or foreign equivalent) and, if established in another European Union member state, its EU VAT number.

Each application is checked manually. The Seller may request any supporting document (Kbis extract, certificate of incorporation, etc.) and reserves the right to refuse, suspend or close an account, in particular in the event of inaccurate information or misuse. The Customer is responsible for keeping its login details confidential and for any order placed from its account. The Customer must inform the Seller without delay of any change in its information, in particular its VAT number.

Article 3 – Products and sale by lot

Products (jewellery and fashion accessories) are described and photographed with the greatest care. Photographs and colours are not contractually binding; slight differences may exist, depending in particular on the screen used.

Some items are sold by lot: the number of pieces per lot is shown on the product page and the quantity ordered must be a multiple of that lot. If an order does not match the lot size, the Seller will contact the Customer to adjust it before shipping (topping up to the next full lot or refunding the surplus pieces).

Offers are valid while stocks last. If an ordered item turns out to be unavailable, the Customer is informed and the corresponding amount is refunded within 14 days.

Article 4 – Prices

Prices are shown in euros, excluding VAT, per piece, excluding shipping costs. Shipping costs and, where applicable, VAT are added and displayed before the order is confirmed, except for destinations offered with shipping on quote (Article 8). The applicable price is the one displayed when the order is confirmed. Prices may be changed at any time, without affecting orders already confirmed.

Prices and conditions available from the Customer's account are reserved for the Customer and must not be disclosed to third parties.

Article 5 – VAT

  • Delivery to mainland France: French VAT at the applicable rate (20%), regardless of the Customer's country of establishment.
  • Delivery to another EU member state to a Customer holding a valid EU VAT number (checked on the VIES system when the account is approved or at checkout): VAT-exempt intra-community supply (Article 262 ter, I of the French General Tax Code); the Customer accounts for VAT in its own country (reverse charge).
  • Delivery to another EU member state without a valid EU VAT number: French VAT (20%).
  • Delivery outside the European Union: export exempt from French VAT (Article 262, I of the French General Tax Code).
  • Delivery to French overseas territories (DROM-COM): sale exempt from French VAT.

Shipping costs follow the same VAT treatment as the products. Customs duties, dock dues (octroi de mer), import VAT and any other tax payable in the country or territory of destination are borne exclusively by the Customer.

Article 6 – Orders

The Customer selects the products, checks the contents of the cart, the total amount and the delivery address, then confirms the order and proceeds to payment. The order is firm and final upon receipt of payment; a confirmation email is then sent to the Customer.

The Seller reserves the right to refuse or cancel any abnormal order or order placed in bad faith, as well as any order from a Customer with whom there is a dispute concerning payment of a previous order.

Article 7 – Payment

The price is payable in full, using the payment methods offered on the Website. The order is only prepared once payment has been received. No discount is granted for early payment.

For payment by bank transfer, the Customer must make the transfer within 48 hours of placing the order, preferably as an instant transfer, quoting the order number as the payment reference. For an order with shipping on quote, the price of the products is paid when ordering under the conditions above; shipping costs are paid separately, under the conditions of Article 8. The order is prepared once the funds have been received in the Seller's account. If the funds have not been received within 7 days of the order, the order is automatically cancelled and the products are put back on sale.

In accordance with Article L441-10 of the French Commercial Code, any amount not paid when due (in particular in the event of a rejected or disputed payment) automatically incurs, without prior notice, late-payment penalties at the rate applied by the European Central Bank to its most recent refinancing operation plus 10 percentage points, as well as a fixed indemnity for recovery costs of €40. Additional compensation may be claimed, on presentation of supporting documents, where the recovery costs incurred exceed this amount.

The invoice is issued by the Seller and sent to the Customer by email.

Article 8 – Delivery and transfer of risk

Products are delivered to the address given by the Customer when ordering, within the delivery zones offered on the Website. The Customer may also choose free pickup at the Seller's showroom (CIFA 3, Aubervilliers); the products are then handed over to the Customer or its representative on presentation of the order number, and risk passes upon this handover. The Customer may also choose to use its own carrier ("I have my own carrier" option); the Seller then does not charge any shipping costs. After placing the order, the Customer sends the Seller its carrier's shipping label or the drop-off location for the parcel. Once the order has been paid and packed, the products are handed over to the carrier designated by the Customer or dropped off at the location given; risk passes upon this handover and transport is the sole responsibility of the Customer. The Customer provides the Seller, on first request, with the proof of transport or export required for the VAT exemption set out in Article 5; failing this, French VAT may be charged to the Customer. Shipping costs are shown before the order is confirmed. For destinations offered with "shipping on quote", the Customer first pays the price of the products. Once the parcel has been packed, the Seller emails the Customer the invoice for the shipping costs, payable within 7 days; the parcel is shipped once this payment has been received. If the shipping costs are not paid within this period, or if the Customer cancels the order after it has been packed, the order is cancelled and the Seller retains a cancellation fee equal to 10% of the amount excluding VAT of the products ordered, deducted from the refund. Delivery times are given for information only; a delay does not entitle the Customer to cancel the order or to claim compensation, except for a delay of more than 30 days attributable to the Seller, in which case the Customer may cancel the order and be refunded.

In all other cases, risk passes to the Customer upon delivery. On receipt, the Customer checks the condition of the parcels in the presence of the carrier. If a parcel is damaged, opened or incomplete, the Customer must record precise reservations on the delivery note, confirm them to the carrier within 3 days (excluding public holidays) by registered letter, in accordance with Article L133-3 of the French Commercial Code, and inform the Seller within the same period by email, with photos. Otherwise, no transport-related claim will be accepted.

Article 9 – Retention of title

Products remain the property of the Seller until full payment of the price (Articles 2367 et seq. of the French Civil Code and Article L624-16 of the French Commercial Code). Risk nevertheless passes to the Customer as set out in Article 8.

Article 10 – Conformity, defects and returns

The Customer must report any wrong item, non-conformity or visible defect within 14 days of receipt, by email, quoting the order number and attaching photos. After verification, the Seller replaces the product or, if it is unavailable, refunds it; return costs are then borne by the Seller.

Apart from any defect or error, the Customer may return products within 14 days of receipt, in accordance with the Returns Policy published on the Website: prior request by email, products new, unworn, in their original condition and packaging, return costs and risks borne by the Customer.

Products are also covered by the legal warranty against hidden defects (Articles 1641 et seq. of the French Civil Code).

Article 11 – Liability

The Seller's total liability, for any cause whatsoever, is limited to the amount of the order concerned. The Seller cannot be held liable for indirect damage (loss of turnover, loss of customers, commercial loss, etc.). The reseller Customer is solely responsible for the conditions under which it resells the products.

Article 12 – Force majeure

Neither party can be held liable for a failure resulting from force majeure within the meaning of Article 1218 of the French Civil Code.

Article 13 – Intellectual property

The photographs, texts and visuals on the Website remain the property of the Seller. The reseller Customer may use them solely to present and resell products purchased from the Seller, without altering them. Any other use is prohibited without prior written consent.

Article 14 – Personal data

Data collected is processed in accordance with our Privacy Policy, available on the Website.

Article 15 – Governing law and disputes

These Terms are governed by French law; the French version prevails. In the event of a dispute, the parties will first seek an amicable solution. Failing that, exclusive jurisdiction is conferred on the courts with jurisdiction over the Seller's registered office, including in the event of multiple defendants or third-party claims.

Article 16 – Changes to the Terms

The Seller may amend these Terms at any time. The applicable Terms are those in force on the date of the order.
